Pixelide.com offers inexpensive data storage infrastructure and collaboration tools that unifies creative artists, industry vendors and their clients. The service aims to maximize benefits of scale and to pass those benefits on to users and customers. For the protection of yourself, vendors represented by Pixelide.com, suppliers, infrastructure providers and us, important terms and conditions are listed below. The terms and conditions set forth herein constitute the full and complete agreement between you("user" or "customer") and Pixelide.com, Inc. ("PX"). By selecting the "I Agree" link/box and accessing the PX web platform and it's Services, you agree to be bound by the terms of this Agreement. The terms contained herein supercede and replace any other agreement or negotiation between you and PX, whether oral, written or otherwise, including any statements made to you by any representative of PX at any time. PX RESERVES THE RIGHT TO UPDATE AND MODIFY THIS AGREEMENT AS REQUIRED AT ANY TIME. ANY CHANGES WILL BE POSTED POSTED ON THE PX WEB SITE IMMIDIATELY. THEREFORE WE RECOMMEND USERS TO REVIEW THE SITE PERIODICALLY. In consideration of your use of Pixeldie web services, you agree to pay the amounts set forth on the PX webpages and for the plans / packages / services used by your account. ACCOUNT SUBSCRIPTION You may store, retrieve, distribute unlimited amounts of content that is lawfully owned by you("user" or "customer") via the PX web services platform, in accordance with your active subscription. It is your responsibility to maintain confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. PX web services are offered on a subscription bases. You agree to pay any / all charges associated with your subscription in accordance with the service details and billing terms. Any free or promotional terms, provided will require your credit card information to continue the offer after the promotional or free period ends. PX will provide all necessary details for automatically charged amounts in accordance to your subscription. At the end of Members subscription plan, you can renew into a new plan with terms and conditions set forth respectively. During the term of an existing subscription, if you wish to change the terms and nature of the current plan, you may do so by providing a notice before the end of the current subscription. Member may choose to cancel the current subscription plan by providing a thirty (30) day notice to Pixelide. Any fees and service charges associated with current subscription plan will be charged according to the billing information provided by the Member. Pixelide subscription payments already made by the member are non-refundable. In case a subscription agreement is terminated prior to the term ending date, a refund will NOT be issued by Pixelide. For annual subscriptions, Pixelide may refund the unused portion of the subscription agreement at it's sole descretion. Any upgrades to current subscription plan will be adjusted to avoid double billing. Pixelide is happy to communicate with you and clarify any questions regarding pricing and upgrade policies. In case of invalid or outdated credit card information or cases where Pixelide is unable to authorize and charge a Member credit card, Pixelide reserves the right to immidiately terminate the subscription account. Any panalties or fees incurred by Pixelide associated with a member credit card are payable by the Member before re-instatement of the subscription. COPYRIGHT NOTICE PX is committed to protecting copyrights and expects users of the Service to do the same. You, as a member of the Service are required by US law to own the right to, or to obtain permission to, use any image before the image is uploaded, shared or printed using PX Services. At PX’s discretion and in appropriate circumstances and accordance with the DMCA ("Digital Millennium Copyright Act"), PX may terminate the accounts of users or prevent access to the Service by users who infringe the intellectual property rights of others. If you believe that your work has been copied in a way that infringes your copyrights, please contact us immidiately. You agree NOT to post, place or transmit any of the following material or obtain any such material using the Service: *Any material sent from an anonymous or false address; Any material that promotes bigotry, racism, hatred or harm against any individual or group. *Any material that could infringe copyright, rights of privacy, publicity or other intellectual property rights without the permission of the owner of these rights and the persons (or their parents or legal guardians, where applicable) who are shown in the material if applicable. *PX requires you to mark “adult-content” warning label as captions or descriptions when images are being shared that include legal adult content. *Any abusive, obscene, pornographic, threatening, defamatory, inappropriate or profane material or any other material that could give rise to any civil or criminal liability under applicable law. You will not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, including use of the Service or access to the Service. INTELLECTUAL PROPERTY RIGHTS If required, PX may request you to provide confirmation of the copyright or trademark ownership of a given submission. If PX does not receive any such confirmation or if there are continued claims of copyright or trademark infringement relating to certain Submissions, PX reserves the right to (i) suspend the shipping of an order relating to the Submission in question, and/or (ii) share your account information with the authorities respectively. If you, as a submitter, dispute any copyright or trademark infringement claims, we will share with you the contact information of any party claiming any such infringement. In the event of any such dispute, PX reserves the right to suspend the display, viewing or sharing of any Submissions until the issue has been resolved. You hereby grant to PX a non-exclusive, royalty-free license to use, display, copy, modify, print, publish, transmit and distribute your Submissions for the sole purpose of delivering the Service. Your physical or electronic sharing of your images constitutes permission for reprinting by the recipient. Permissions can be set on submissions respectively as provided within the Service. PX will not be liable for the content of any Submission and expressly disclaims all liability relating thereto. DISCLAIMER OF WARRANTIES THE SERVICE, CONTENT AND/OR MATERIALS AVAILABLE THROUGH PX AND ANY PX MEMBER SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED. PX EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. PX MAKES NO WARRANTY THAT ITS SITE OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE, OR THAT THIS SITE OR ITS SERVER IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. PX MAKES NO WARRANTY REGARDING ANY SOFTWARE, GOODS, SERVICES, SPECIAL OFFERS, OR THE DELIVERY, QUALITY, ACCURACY, TIMELINESS, COMPLETENESS OR RELIABILITY OF ANY SOFTWARE, GOODS OR SERVICES, PURCHASED, ACCESSED OR OBTAINED THROUGH PX’S SITE OR ADVERTISED THROUGH PX’S SITE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM PX OR THROUGH THE SITE OR SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN. 'GOOD OR BAD THUMBNAILS' MAJORITY OF PIXELIDE FEATURES INCLUDE THE OPTION TO USE AUTO-GENERATED THUMBNAILS. THIS OPTION IS FOR CONVENIENCE ONLY AND IS NOT GUARANTEED TO WORK FOR EVERY SINGLE FILE FORMAT STORED WITHIN YOUR PIXELIDE WORKSPACE. WE CANNOT GUARANTEE AN AUTOMATICALLY GENERATED THUMBNAIL FOR YOUR UPLOADED FILES. THE CAPABALITIES TO MANAGE AND DELIVER MAY APPLY TO SYSTEM GENEREATED OR 'BAD' THUMBNAILS. THIRD PARTY LINKS PX may provide third party links to information and resources of interest to you. PX does not influence the accuracy of and has no control over these resources. You agree not to hold PX responsible for any false or faulty information or links provided. Except with respect to the PX's obligations set forth in the this agreement, in no event shall the PX be liable, for any special, incidental, indirect or consequential damages or for the loss of profit or data even if the party shall have been advised of the possibility of such a potential loss or damage. INDEMNIFICATION You hereby agree to indemnify, defend and hold harmless PX, its officers, directors, employees, agents, successors, licensors, independent contractors, providers, subsidiaries and affiliates (collectively, the "Affiliates"), from and against any and all liability and costs (including, without limitation, attorneys' fees and costs) incurred by the Affiliates in connection with any claim arising out of any breach by you of the Agreement or claims arising out of a connection with a third party claim. You shall cooperate as fully as reasonably required in the defense of any claim. TERMINATION PX maintains complete discretion to suspend or terminate, this service and agreement with or without notice to members and users. Member or user submissions, content, PX powered services or sites may be suspended, deleted or terminated as a result of a written account termination notice to PX. Any submissions, as described within this agreement hosted by or in possession of PX may be instantly removed, without liability to the member or users. COMMUNICATION & NOTICES PX will make available all notices under this agreement via electronic mail. Any communication / notices will be deemed to have been received successfully after 24 hours from the time they have been sent, with exceptions to a return message with any "system errors" or undeliverable email addresses. GOVERNING LAW, VENUE, JURISDICTION AND TIME LIMITS. This Agreement shall be governed by and construed in accordance with the laws of the State of New York (United States) applicable to agreements made and to be performed in New York, without reference to its conflict of laws principles. You agree that any legal action or proceeding between PX and you for any purpose concerning this Agreement or our respective rights and obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in New York, New York. MISCELLANEOUS This Agreement constitutes the entire agreement between you and PX regarding your registration for and use of the Services, and it supersedes all previous agreements and understandings (whether oral or written and whether express or implied) between you and PX with respect to your PX registration, access and use of the Services. PX and you are independent contractors. Nothing contained herein shall be construed as either you or PX being the agent of the other, partners or joint ventures. You will make no representations or warranties on behalf of PX with respect to any of it's Services.
